A high-ranking official who, historically, administered a province or distant territory as the representative of a ruler, such as a king or emperor.

The word consists of 'Statt' (in the sense of 'anstelle von', meaning in place of) and 'Halter' (from 'halten', to hold). A 'Statthalter' (governor/proxy) is therefore literally someone who holds a position in place of another, usually more important, ruler.
Der Statthalter regierte die Provinz im Namen des Königs.
The governor ruled the province in the name of the king.
This term is used mainly in historical contexts, especially for administrators in large empires such as the Roman Empire or in monarchies. The word is not used for modern political offices.

'der Vertreter' and 'der Statthalter' can both refer to a person who acts for someone else. However, 'der Vertreter' is much more general and normal in everyday language: a 'Vertreter' can speak for a company, replace someone at an appointment, or work in sales. 'der Statthalter' mainly fits history and politics. It refers to a high-ranking deputy of a ruler or to a person who acts only in the name of a stronger power. The words can be confused because both have to do with representation or acting as a substitute. In practice: for normal work, appointments, or companies, you usually use 'Vertreter'; 'Statthalter' sounds historical, political, or very specific.
